01 — The firm
Commerce Securities Corporation was incorporated in Texas in October 1981 and has been registered with the Securities and Exchange Commission since October 1982. Four decades later it is still doing the same narrow set of things, from the same city, under the same leadership.
That continuity is the product. Private capital markets reward relationships that survive cycles, and a firm that has filed continuously since the Reagan administration has seen a few.

02 — What we do
Broker-dealers declare the activities they intend to conduct, and regulators hold them to that list. Ours is deliberately short — these are the five, exactly as filed.

We arrange and place unregistered offerings for issuers raising capital outside the public markets — typically Regulation D transactions sold to accredited investors. Structure, documentation and investor suitability are handled in-house.

Assembling investor groups around individual real property assets and partnerships. Houston has been through more real estate cycles than almost any market in the country; the firm has worked through several of them.

Selling limited partnership interests and comparable programs in primary distribution. A legacy discipline for the firm and one that still calls for careful suitability work rather than volume.

The firm trades on a proprietary basis. It is a distinct activity from client work, conducted with firm capital, and it is disclosed as such on the firm's registration.

Advisory work for privately held companies considering a sale, a purchase or a recapitalisation — valuation perspective, counterparty identification and transaction support through closing.

Commerce Securities Corporation does not hold or maintain customer funds or securities and provides no clearing services for other broker-dealers. It has no third-party recordkeeping arrangements and no affiliations with banks or investment institutions.
For a firm doing private-market work, that structure removes an entire category of conflict and counterparty risk before it can arise. Every dollar in a transaction moves between the investor and the issuer — never through us.

A small team, one office. The number at the bottom of this page reaches the firm directly — there is no call tree and no relationship-management layer between an enquiry and the people who evaluate it.
